Donor Terms of Service
Version 0.4.0 · Document type terms_of_service
These Terms of Service ("Terms") govern your use of the Roster platform and related services (the "Service") provided by Roster Giving Inc. ("Roster," "we," "us," or "our"). By creating a Roster account, you agree to these Terms.
1. DESCRIPTION OF THE SERVICE
Roster provides a platform that enables you ("Donor") to direct a portion of your pay to a religious organization of your choice (the "Recipient Church") through automated recurring transfers. How it works:
- You connect your payroll through our integration partner and choose the portion of your pay to direct into your Roster account.
- Each pay period, that portion is deposited into a deposit account held in your name at our partner bank (an FDIC-insured "FBO" account).
- The deposit received for that period is then automatically transferred to your designated Recipient Church.
You may change the portion of your pay directed into your Roster account at any time — through Roster, or directly with your employer or payroll provider. If you make that change directly with your employer or payroll provider, your transfers continue at the new amount without a further authorization; your Recurring Transfer Authorization (including your right to advance notice of an unusually large transfer, and your right to cancel or stop any transfer) continues to apply. Roster is a technology platform and program manager. We are not a bank. Your deposit account is held at and issued by our partner bank, [PARTNER_BANK_NAME], Member FDIC. Your funds are eligible for FDIC insurance subject to applicable rules and limits.
2. FEES
Roster is free to donors. We do not charge you any processing fees, account fees, or monthly fees. Roster charges a platform fee to Recipient Churches for use of the Service, which is deducted from the donation amount before settlement to the church. This fee is the Recipient Church's obligation, not yours.
3. ELIGIBILITY
To use the Service, you must:
- Be at least 18 years of age;
- Be a U.S. resident;
- Have a valid Social Security Number or Individual Taxpayer Identification Number;
- Receive income from a source supported by our integration partners (whether as an employee or as an independent/self-employed worker); and
- Successfully complete identity verification as required by our partner bank.
4. YOUR ACCOUNT
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@rostergiving.com or +1 (302) 621 8600 if you believe your account has been compromised. You may maintain only one Roster account. You may designate one Recipient Church at a time. Changing your donation. You may change your donation percentage, or change your Recipient Church to another church already onboarded and available on the Roster platform, at any time through your account at www.rostergiving.com.
- Reducing or stopping your donation is always immediate and free. There is no waiting period and no additional confirmation.
- Increasing your donation may require a short confirmation period before it takes effect, and in some cases additional confirmation steps. These protections exist for your benefit — to prevent changes you did not make and changes made under pressure. We will always tell you on screen what applies to your change before you confirm it.
- Changing your donation percentage or your Recipient Church requires you to sign a new Recurring Transfer Authorization reflecting the new terms, before the change takes effect.
5. PERMITTED USE
The Service is intended solely for voluntary charitable donations to qualifying 501(c)(3) religious organizations available on the Roster platform. You may not use the Service to:
- Transfer funds to yourself or any person;
- Transfer funds for any purpose other than charitable donation;
- Circumvent any applicable law, regulation, or sanctions program;
- Engage in fraudulent, deceptive, or illegal activity; or
- Attempt to manipulate, reverse-engineer, or interfere with the Service.
For clarity, the return of your own un-donated balance to a bank account verified as belonging to you — as described in Section 6, and as available when you reduce or interrupt a donation — is a permitted return of your own funds and is not a prohibited "transfer to yourself" under this Section.
6. YOUR RIGHT TO CLOSE YOUR ACCOUNT
You may close your Roster account at any time by:
- Logging into your account at www.rostergiving.com and selecting "Close Account"; or
- Contacting us at support@rostergiving.com or +1 (302) 621 8600.
Upon receiving your closure request, we will:
- Cancel any pending or future recurring transfers;
- Process any transfer already in progress at the time of your request;
- Return any remaining balance in your deposit account to your linked payroll account or, if that is not possible, via ACH to a bank account you designate, within 10 business days of account closure.
If we are unable to return your remaining balance because you have not provided valid account information, we will hold the funds in accordance with applicable unclaimed-property laws and attempt to contact you at your last known address.
7. OUR RIGHT TO SUSPEND OR CLOSE YOUR ACCOUNT
We may suspend or close your account, or refuse to process a transfer, if:
- We are required to do so by law, regulation, or our partner bank;
- We reasonably believe your account is being used in violation of these Terms;
- We detect unusual activity inconsistent with the expected use of the Service;
- Your identity cannot be verified or re-verified as required; or
- Your account has been inactive for 12 consecutive months with a zero balance.
If we close your account, we will return any remaining balance to you as described in Section 6, unless prohibited by law or a regulatory directive. Separately from closing your account, we may remove you from the giving program of a Recipient Church — and stop transfers from your deposit account to that church — when your donation is cancelled or when the account is being used for a purpose other than the Service. Removal from the program never moves your money: any balance stays in your deposit account, with the partner bank, and is handled as described in Section 6.
8. LIMITATIONS OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW: a) Roster shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of donations, loss of tax benefits, or reputational harm. b) Roster is not responsible for:
- Delays in payroll processing by your employer, income provider, or payroll provider;
- Errors in transfer amounts caused by changes in your payroll that occur after a transfer is initiated;
- Actions taken by our partner bank in accordance with banking regulations;
- The tax-exempt status, conduct, or financial practices of any Recipient Church; or
- Interruptions to the Service caused by circumstances beyond our reasonable control.
These limitations do not apply to: liability arising from our gross negligence or willful misconduct, or any rights you have under Regulation E (12 CFR Part 1005) regarding unauthorized transfers or error resolution, which are governed by applicable law and cannot be limited by contract.
9. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROSTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Roster does not guarantee uninterrupted or error-free service, nor do we guarantee that any specific tax benefit will result from your donations.
10. TAX MATTERS
Roster is not a tax advisor. Donations made through the Service may be tax-deductible under IRC §170, but deductibility depends on your individual circumstances, the tax-exempt status of the Recipient Church, and applicable IRS rules. Any donation receipt or statement we provide is for informational purposes only and does not constitute tax advice. Consult a qualified tax professional regarding the deductibility of your donations.
11. MODIFICATIONS TO THESE TERMS
We may modify these Terms at any time. If we make material changes, we will notify you at least 30 days before the changes take effect, via email or in-app notification. Your continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree with a modification, you may close your account as described in Section 6.
12. COMMUNICATIONS
You agree to receive communications from Roster electronically, including notices regarding your account, transfers, and changes to these Terms. Electronic communications satisfy any legal requirement that such communications be in writing, subject to your E-SIGN consent provided separately. Certain disclosures about your deposit account are provided by our partner bank and are delivered to you the same way.
13. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted individually (not as a class action). You retain the right to bring claims in small claims court if your claim qualifies. Right to opt out of arbitration: you may opt out of this arbitration agreement by sending written notice to arbitration-optout@rostergiving.com within 30 days of accepting these Terms. Your notice must include your full name, Roster account email, and a clear statement that you decline arbitration. If you opt out, you retain all other rights under these Terms, and Roster will not retaliate or alter your service. If you do not opt out within 30 days, this arbitration agreement applies to all disputes arising after your acceptance.
14. SEVERABILITY
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
