Everything we do is focused on helping you increase employee engagement and giving. These Terms of Service ("Terms") cover your use of the products, services, and websites ("Services") provided by Roster Giving, Inc. ("Roster", "we", "us").

By using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization (such as a Healthcare Foundation), you agree to these Terms on behalf of that organization.

1. Services Description

Roster provides an enterprise SaaS platform for Employee Giving Automation. Our Services include:
  • Campaign Management: Tools to create and manage fundraising campaigns.
  • Donation Processing: Facilitation of payroll deductions and direct donations.
  • AI Agents: Artificial Intelligence tools to assist with tasks such as ambassador recommendations and content generation.
  • Analytics: Dashboards and reports on engagement and giving.

2. Artificial Intelligence (AI) Policies

Our platform utilizes advanced AI technologies to enhance your experience. By using these features, you acknowledge and agree to the following specific policies designed to protect your data:

2.1. No AI Training on Client Data

Your data remains yours. Roster utilizes enterprise-grade model endpoints configured to ensure that none of your proprietary data (including employee names, donation history, or internal documents) is used to train, fine-tune, or improve our third-party Artificial Intelligence or Machine Learning models.

2.2. Zero Data Retention

For AI interactions, we enforce a Zero Data Retention policy with our LLM providers (e.g., OpenAI Enterprise). Inputs and prompts sent to AI models are processed statelessly and are not stored by the model provider.

2.3. AI Disclaimer

While our AI Agents serve as powerful assistants, they do not replace professional human judgment.
  • Recommendations: Suggestions made by AI (e.g., identifying potential ambassadors) are for informational purposes only. You are responsible for the final decision to approve or implement any suggestion.
  • Accuracy: Given the probabilistic nature of LLMs, AI-generated content may occasionally contain inaccuracies ("hallucinations"). You should verify all critical outputs before use.

3. Data Privacy & Security

Trust is our highest priority. Our specific data handling practices are detailed in our Privacy Policy.

3.1. No PHI Processing

You acknowledge that Roster DOES NOT process, store, or transmit Protected Health Information (PHI) as defined by HIPAA.
  • Data Scope: You agree strictly to limit the data uploaded to the Service to administrative Employee PII (Name, Email, Department) and financial giving data.
  • No Business Associate Agreement (BAA): As we do not handle PHI, Roster acts as a standard Service Provider/Vendor and is not a Business Associate under HIPAA.

3.2. Security Guarantee

Roster implements industry-standard security controls (defense-in-depth, encyrption at rest/transit, RBAC). Specific commitments regarding our security posture are outlined in the Security Guarantee attached to your Enterprise Agreement.

4. User Obligations

To ensure the integrity of the Service, you agree to:
  • Data Accuracy: Ensure that all payroll and employee data imported into the system is accurate and legally obtained.
  • Access Control: Maintain the confidentiality of your administrative credentials. You are responsible for all activities that occur under your account.
  • Compliance: Use the Services in compliance with all applicable laws, including employment and tax regulations related to payroll deductions.

5. Fees and Payment

Fees for the Service are set forth in your specific Enterprise Agreement or Order Form.
  • Donation Processing: If you utilize our platform to process payments (e.g., credit card donations), applicable transaction fees will be assessed by our third-party payment processors (e.g., Stripe, Blackbaud).
  • Taxes: You are responsible for any applicable taxes associated with your purchase of the Services.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROSTER GIVING, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

7. Term and Termination

These Terms remain in effect while you use our Services.
  • Termination by You: You may stop using our Services at any time.
  • Termination by Us: We may suspend or terminate your access if you materially breach these Terms.
  • Data Return: Upon termination, we will provide mechanisms for you to export your data and will subsequently delete your data from our active systems in accordance with our retention policies.

8. General Provisions

  • Governing Law: These Terms shall be governed by the laws of the State of Delaware, without respect to its conflict of laws principles.
  • Entire Agreement: These Terms, together with the Privacy Policy and any specific Enterprise Agreement signed by the parties, constitute the entire agreement between you and Roster regarding the Services.
  • Modifications: We may revise these Terms from time to time. The most current version will always be posted on our website.
