Terms of Service

Acceptance of Terms

By accessing and using the Roster Giving platform and website (the "Service"), you accept and agree to be bound by and abide by the terms and condition of this Terms of Service Agreement. If you do not agree to abide by the above, please do not use this service. The Company reserves the right to make changes to this agreement at any time and without notice, by updating this page, and your obligation to abide by these terms will continue even after such modifications.

Service Description

Roster Giving provides a SaaS platform designed specifically for hospital foundations to automate employee giving programs, including:

• Employee roster management and enrollment
• Payroll deduction processing and integration
• Ambassador program management
• Donation tracking and CRM integration
• Employee communication and engagement tools
• Reporting and analytics

The Service is provided on an "as-is" basis, and the Company reserves the right to modify or discontinue features at any time with notice to customers.

User Obligations

As a user of the Service, you agree to:

• Provide accurate and current information in your account
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use
• Use the Service only for lawful purposes and in compliance with all applicable laws
• Not violate the privacy rights of others or share personal data improperly
• Not use the Service to interfere with, disrupt, or overload the platform or its servers
• Not attempt to gain unauthorized access to any portion of the Service
• Not reverse-engineer, decompile, or disassemble the Service
• Comply with all applicable healthcare data protection laws, including HIPAA if you handle protected health information

Payment Terms

Pricing Structure:

• Platform fee: $300 per month (or custom pricing for multi-location systems)
• Success fee: 5% of new donations only (or 3.5% for Blackbaud partners in Year 2+)
• One-time fees: $0

Billing and Payment:

• Platform fees are billed monthly in advance
• Success fees are calculated and billed monthly based on new donations processed
• Invoices are due within 30 days of issuance
• Payment methods accepted: credit card, ACH transfer, check (with approval)
• Late payments may result in service suspension and interest charges

You are responsible for providing valid payment information and for all charges incurred by your account.

Cancellation and Termination

Cancellation by Customer: You may cancel your account at any time with 30 days' written notice. You will be responsible for all fees through the date of cancellation.

Termination by Company: We may terminate your account if you violate these Terms, fail to pay charges, or use the Service in a manner that violates applicable laws or infringes on others' rights.

Data Deletion: Upon cancellation or termination, we will provide you with a data export. You have 30 days to retrieve your data. After 30 days, we reserve the right to delete your data from our active systems.

Intellectual Property Rights

The Service, including all content, features, and functionality (including but not limited to software, code, design, text, and graphics), is owned by Roster Giving or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

License Grant: We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to compliance with these Terms.

Your Data: You retain ownership of all data you upload or input into the Service. By using the Service, you grant us a license to use your data to provide and improve the Service.

Limitation of Liability

DISCLAIMER: THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

LIMITATION: IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CAP: THE TOTAL LIABILITY OF COMPANY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Roster Giving, its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable laws.

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information. Hospital data, including employee roster information and donation records, is treated as strictly confidential and will not be shared with third parties except as required for service delivery or legal compliance. You are responsible for complying with applicable data protection laws when using the Service.

Modifications to Terms

Roster Giving reserves the right to modify these Terms at any time. We will notify you of material changes via email or by posting an updated version on our website. Your continued use of the Service following such modifications constitutes your acceptance of the updated Terms.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements you have with us, constitute the entire agreement between you and Roster Giving regarding the Service and supersede all prior and contemporaneous agreements and understandings.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.
