Sandbox Access Terms

These Sandbox Access Terms (the “Terms”) are between Roster Giving Inc. (“Roster”) and the company requesting access (“you”). By requesting or using sandbox credentials, you agree to them.

1. What you get

1.1 Roster grants you a limited, non-exclusive, non-transferable, revocable right to access the Roster sandbox environment, the API documentation, the OpenAPI specification, integration examples and the MCP server (together, the “Sandbox Materials”), solely to evaluate and build toward an integration with the Roster payroll deduction donation service.

1.2 The sandbox uses test data only. No live donation may be processed, and no church or donor may be enrolled in production, until a Partnership Order is signed and your integration is certified by Roster.

2. What you may not do

2.1 You may not copy, publish or share the Sandbox Materials outside your own team, or grant access to any third party.

2.2 You may not reverse engineer, decompile or attempt to derive the underlying design of the service, nor use the Sandbox Materials to design, build or commission a service that replaces or substitutes for it.

2.3 You may not submit real personal data, real bank account data, or production payroll credentials to the sandbox.

3. Confidentiality

3.1 The Sandbox Materials, including the API design, the enrollment and verification flows, the settlement mechanics and any pricing shared with you, are Roster’s confidential information. You will protect them with at least reasonable care and use them only for the purpose in Section 1.1.

3.2 These obligations last three (3) years from disclosure, and indefinitely for trade secrets. If a mutual non-disclosure agreement is in force between the parties, it applies in addition to these Terms; where they conflict, the more protective term governs.

4. No commitment

4.1 These Terms create no obligation for either party to enter into a partnership, and no exclusivity. Roster may work with any other platform.

4.2 The sandbox is provided “as is”, without warranty of availability, accuracy or fitness. Roster may change or discontinue it at any time.

5. Term and termination

5.1 Roster may revoke sandbox access at any time, with or without cause. You may stop using it at any time.

5.2 On revocation you will stop using the Sandbox Materials and, on request, delete or return them. Sections 2, 3 and 6 survive.

5.3 If the parties sign a Partnership Order, the Roster Partner Terms govern the relationship from the Effective Date, and these Terms continue to apply to any period of sandbox access that preceded it.

6. General

6.1 Roster’s aggregate liability under these Terms will not exceed one thousand US dollars (US$1,000). Neither party is liable for indirect or consequential damages.

6.2 These Terms are governed by the laws of the State of Delaware, and the state and federal courts located in Delaware have exclusive jurisdiction.

6.3 Roster may update these Terms. Updated Terms take effect upon the next issuance or renewal of credentials, and continued use of credentials issued after an update constitutes acceptance of the updated Terms. The version in force is the one published at the time access is granted or renewed.
